Weam Service Agreement

This SERVICE CONTRACT (this “Agreement” or this “Service Contract”), effective on the date you purchase a subscription, is made and entered into by you, and JD Softtech Inc. (“Company”).

The following terminology applies to this service agreement: “Client”, “You” and “Your” refers to you. “The Company”, “Ourselves”, “We”, and “Our”, refers to JD Softtech Inc. “Party”, “Parties”, or “Us”, refers to both the Client and JD Softtech Inc.

Weam is a custom AI implementation and workflow automation service offered by JD Softtech Inc. Through this Agreement, JD Softtech Inc., via its Weam service, provides clients with a dedicated AI implementation team specializing in multi-unit workflow automation, automated roll-up reporting, secure data integrations, local marketing execution, and continuous optimization.

By subscribing to any Weam service plan, booking a call, or engaging our implementation team, you acknowledge that you have read, understood, and agreed to be bound by the terms and conditions described in this Agreement.

Our goal is to ensure mutual transparency, professional collaboration, and clear expectations throughout your engagement. This Agreement outlines the scope of services, payment terms, ownership rights, confidentiality obligations, and other important provisions governing the relationship between you (the Client) and JD Softtech Inc. (the Service Provider).

1.0 Purpose

This Service Agreement (“Agreement”) sets forth the terms under which JD Softtech Inc., through its Weam service, provides AI implementation, automation, and consulting services to the Client. These services include, but are not limited to, custom API-driven AI workflows, secure data stack integrations (such as POS, CRM, and scheduling tools), consultation, and ongoing optimization as described on the Weam website or in an executed proposal.

2.0 Scope of Services

  1. JD Softtech Inc., through Weam, will assign a dedicated team (the “AI Team”) corresponding to the Client’s active subscription plan (e.g., Fractional Team or Dedicated Team).
  2. Services may include:
    • Multi-unit workflow automation and operational process optimization
    • Automated roll-up reporting and dashboard creation
    • Secure, API-based integrations between disparate business systems
    • Development of routine customer support and internal staff agents
    • Maintenance and continuous improvement of deployed systems
  3. All work will be executed via JD Softtech Inc.‘s own task management system unless otherwise agreed in writing.

3.0 Mutual Cooperation

Both parties agree to act in good faith and to provide timely feedback, data, and access required to complete the agreed-upon deliverables. Delays resulting from the Client’s inaction may extend delivery timelines without penalty to JD Softtech Inc.

4.0 Client Responsibilities

Client agrees to:

  1. Provide accurate information, credentials, and access to systems necessary for integrations.
  2. Approve deliverables in a timely manner.
  3. Maintain backups and security of their own systems.
  4. Ensure that internal stakeholders comply with the implementation and usage guidelines provided by JD Softtech Inc. through Weam.

5.0 Deliverables and Acceptance

Each deliverable (automation, workflow, dashboard, or integration) will undergo a demo and review stage within the Client’s sandbox or staging environment. Once approved, JD Softtech Inc. through its Weam team will deploy the solution into production. Approval constitutes acceptance of work.

6.0 Ownership and Intellectual Property

  1. All completed builds, automations, and deliverables are fully usable and accessible by the Client.
  2. However, the underlying source code, frameworks, and reusable components remain part of JD Softtech Inc.‘s proprietary or open-source assets (including the core Weam.ai platform).
  3. JD Softtech Inc. retains the right to reuse or improve generic code logic, templates, or system components across future projects and within its open-source platform.
  4. Client’s proprietary data, operational metrics, and business information remain exclusively owned by the Client and are never shared or reused.

7.0 DISCLAIMER

THE FOREGOING WARRANTIES BY EACH PARTY ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THIS AGREEMENT, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER PARTY SHALL HAVE ANY LIABILITY WHATSOEVER FOR ANY COVER OR SETOFF NOR FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.0 Payment Terms

  1. Subscription fees are billed monthly in advance based on the selected plan.
  2. Payments are processed automatically through the authorized payment method on file.
  3. All fees are quoted in USD and exclude applicable taxes.
  4. Failure to remit payment within 7 days of the due date may result in suspension of service until payment is received.

9.0 Refund and Cancellation Policy

  1. JD Softtech Inc., through Weam, offers a 14-day money-back guarantee on new subscriptions.
  2. Client may pause or cancel any plan before the next renewal date via the client portal.
  3. No partial refunds are issued for unused time within an active billing period after the initial 14 days.
  4. Upon cancellation, Client’s data and deliverables remain theirs; JD Softtech Inc. deletes internal copies within 30 days.

10.0 Term and Renewal

This Agreement remains in effect for as long as the Client maintains an active subscription. It renews automatically each billing cycle unless cancelled by either party in writing or through the client portal.

11.0 Termination

Either party to this Agreement may terminate the Agreement if the other party defaults in the performance of any of its material duties and obligations and the default is not cured within thirty (30) days of the receipt of notice of said default, or if the default is not reasonably curable within the said period of time unless the defaulting party commences cure within the said period of time and diligently proceeds to cure the default.

Upon termination:

  1. All outstanding payments become immediately due;
  2. JD Softtech Inc. will deliver all completed and accepted work;
  3. All licenses or system access granted to JD Softtech Inc. shall be revoked by the Client.

12.0 Confidentiality

Both parties agree to maintain confidentiality of all non-public information, code, and data shared during the engagement. Neither party shall disclose or use such information for any purpose other than fulfilling this Agreement.

13.0 Data Protection and Security

  1. JD Softtech Inc. builds with a “privacy-first” and “local-first” methodology, applying encryption, least-privilege access, and GDPR-aligned practices.
  2. No Client data is used to train any public or shared AI models.
  3. Client may request an NDA before project kick-off.
  4. Data retention is limited to the duration of the active plan and 30 days thereafter.

14.0 Representations and Warranties

  1. Each party represents that it has the authority to enter this Agreement.
  2. JD Softtech Inc. warrants that services will be performed with reasonable skill and professional diligence.
  3. JD Softtech Inc. does not warrant that automation or AI systems will be error-free or uninterrupted, but commits to prompt correction of any defects identified within the active service term.
  4. Except as expressly stated, no other warranties (express or implied) are provided.

15.0 Limitation of Liability

In no event shall JD Softtech Inc.’s total liability exceed the amount paid by the Client in the two (2) months preceding the claim. Neither party shall be liable for indirect, consequential, or special damages, including loss of profits or data.

16.0 Indemnification

Each party agrees to indemnify and hold harmless the other from any claims, losses, or damages arising from breach of this Agreement, negligence, or misuse of deliverables.

17.0 Modifications and Change Requests

All service modifications, plan upgrades, or scope changes must be confirmed in writing or through the client portal. JD Softtech Inc. may update this Agreement from time to time; continued use of the service constitutes acceptance of revised terms.

18.0 Independent Contractor Relationship

JD Softtech Inc. acts as an independent contractor. Nothing herein creates an employer-employee, joint-venture, or agency relationship between the parties.

19.0 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, USA, without regard to its conflict-of-laws principles.

20.0 Severability

If any provision of this Agreement is held to be illegal, invalid, or unenforceable under any present or future law, then that provision will be fully severable. In such instance, this Agreement will be construed and enforced as if the illegal, invalid, or unenforceable provision had never comprised a part of this Agreement, and the remaining provisions of this Agreement will remain in full force and effect.

21.0 Entire Agreement

Except as otherwise set forth or referred to in this Agreement, this Agreement constitutes the sole and entire Agreement and understanding between the parties hereto as to the subject matter hereof and supersedes all prior discussions, agreements, and understandings of every kind and nature between them as to such subject matter.

The parties each individually represent and warrant that each has full power and authority to enter into this Agreement and to perform all of their obligations hereunder without violating the legal or equitable rights of any third party.

22.0 Notices

All notices must be sent in writing to: JD Softtech Inc. (Weam) – hello@weam.ai and to the Client’s registered email address on file.


By proceeding with payment or signing this Agreement, Client acknowledges that they have read, understood, and agreed to the terms herein.
